Corporate Counsel

Our client, a successful manufacturing company, is seeking a Corporate Counsel to join their legal team in Billerica, Massachusetts. This position will play a central role in advising on public company obligations, securities matters, and corporate governance while also contributing to broader legal support across the business. The ideal candidate will be comfortable working in a fast-paced environment, partnering with internal stakeholders, and handling a mix of strategic and day-to-day legal work.

Schedule: In Office M-F, with possibility for hybrid after onboarding

Salary: $200,000 - $225,000 base + equity

Responsibilities:

• Assist with the preparation and filing of SEC reports and public company disclosures, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and registration statements.
• Support the Company’s disclosure controls and procedures, including coordinating disclosure committee activities and CEO/CFO certification processes.
• Monitor compliance with Regulation FD, insider trading policies, Section 16 reporting requirements, and other applicable securities laws and regulations.
• Collaborate with Finance, Investor Relations, and Communications teams on external disclosures, including earnings releases, investor presentations, and other shareholder communications.
• Support the Board of Directors and its committees by preparing meeting agendas, materials, resolutions, minutes, and other corporate governance documents.
• Ensure compliance with Delaware corporate law, the Company’s Certificate of Incorporation and Bylaws, and applicable stock exchange listing requirements.
• Assist with annual corporate governance calendars, director onboarding, governance initiatives, and development and maintenance of corporate policies.
• Provide legal support for the administration of equity incentive plans and employee stock purchase plans, including related SEC and shareholder disclosures.
• Assist with the preparation and review of executive compensation disclosures included in proxy statements and other public filings.
• Draft, review, and negotiate a variety of commercial agreements, including nondisclosure agreements, supply agreements, licensing agreements, joint development agreements, and service contracts.
• Provide day-to-day legal counsel to internal business teams, identifying and mitigating legal and regulatory risks while supporting the Company’s strategic and business objectives.
• Support cross-functional compliance initiatives involving areas such as export controls, data privacy, employment matters, and other regulatory requirements.
• Monitor and analyze developments in securities laws, SEC regulations, stock exchange requirements, and corporate governance best practices.
• Assist with internal investigations, whistleblower matters, compliance initiatives, and employee training programs.

Qualifications:

Requirements:

• J.D. from an accredited law school and admission in good standing to at least one U.S. state bar. Must be admitted, or eligible for admission, to the Massachusetts Bar or eligible for registration as in-house counsel in Massachusetts.
• 3–7 years of legal experience, with significant experience in securities law and corporate governance. Experience with a law firm and/or in-house legal department supporting a public company is strongly preferred.
• Demonstrated experience drafting, reviewing, and negotiating a variety of commercial agreements.
• Strong working knowledge of the Securities Act, Exchange Act, Sarbanes-Oxley Act, Regulation FD, SEC reporting requirements, and applicable stock exchange rules.
• Excellent organizational, prioritization, and project-management skills, with the ability to manage multiple matters and competing deadlines in a fast-paced, international business environment.
• Practical, business-minded approach with the ability to balance legal and compliance considerations with commercial objectives.
• Adaptable and collaborative, with the ability to transition seamlessly between specialized securities and compliance matters and broader corporate and commercial legal needs.
• Strong written and verbal communication skills, with the ability to effectively advise and collaborate with stakeholders at all levels of the organization.

Compensation

$200,000.00-$220,000.00 Yearly
