Due Diligence Paralegal
Responsibilities:
• Conduct legal due diligence on investment managers and related parties for private equity and venture capital matters, with a primary focus on litigation and regulatory review.
• Examine court filings, dispute records, regulatory examination materials, and related documents to identify concerns that may affect investment decisions.
• Prepare concise, well-organized summaries of findings in the required format so attorneys and stakeholders can quickly assess material issues.
• Distinguish between routine matters and significant legal risks, applying sound judgment to determine when additional analysis or escalation is needed.
• Partner closely with attorneys and investment professionals to support ongoing reviews and provide follow-up on open diligence questions.
• Manage multiple active diligence assignments independently while maintaining strong organization, accuracy, and timely communication.
• Assist with compliance-related legal review connected to investment diligence, particularly in more highly regulated private equity environments.
• Provide secondary support on agreement review, including nondisclosure agreements, when business needs require additional legal assistance.
Qualifications:
• 5+ years of paralegal experience, including substantial exposure to litigation review, case assessment, or legal due diligence.• Demonstrated ability to analyze litigation fact patterns and summarize pending or historical disputes in a clear, practical manner.
• Experience supporting matters involving private equity, venture capital, investment managers, or comparable financial services environments.
• Familiarity with regulatory compliance concepts and the ability to identify legal or compliance risks during document review.
• Strong judgment in determining what information is material and when issues should be elevated to attorneys or stakeholders.
• Ability to work independently within a defined process while coordinating effectively with multiple attorneys and cross-functional partners.
• Excellent written communication and organizational skills, with the capacity to manage several priorities at once.
• Experience reviewing commercial legal documents such as NDAs is helpful, though not the primary focus of the role.
