Attorney/Lawyer

We are looking for a skilled Business Attorney with over five years of relevant experience to join an established and reputable team in Roseville, California. Responsibilities:

• Provide legal counsel on business entity formation, mergers and acquisitions, and regulatory compliance.

• Draft, review, and negotiate contracts, including shareholder agreements, partnership agreements, and securities offerings.

• Guide clients through major transactions such as private placements and equity incentive plans.

• Collaborate with estate planning professionals on succession strategies for business owners.

• Analyze debt structures and advise on banking and credit facility matters.

• Develop tailored legal solutions to address complex client challenges.

• Represent clients in regional, national, and multinational transactions.

• Ensure legal documentation aligns with business objectives and regulatory standards.

• Maintain a client-focused approach to deliver practical and cost-effective solutions.

• Stay updated on corporate law developments to provide informed counsel.

Qualifications:

• Juris Doctor (JD) degree and active membership in the state bar.
• Minimum of five years of experience in business law, preferably within a law firm setting.
• Proficiency in drafting and negotiating contracts and agreements.
• Expertise in areas such as mergers and acquisitions, entity formation, or securities offerings.
• Strong communication and interpersonal skills for collaborating with clients and colleagues.
• Ability to manage complex legal issues in a fast-paced environment.
• Familiarity with succession planning or estate-related matters is a plus.
• Commitment to delivering high-quality legal services and achieving client satisfaction.

Compensation

$120,000.00-$200,000.00 Yearly
