Commercial Counsel

Innovative AI company is seeking a Commercial Counsel with strong SaaS experience to join its team in Santa Clara. This attorney will support a wide range of commercial legal matters, with a focus on drafting, reviewing, and negotiating technology-driven agreements in a fast-paced, high-growth environment. This is a hybrid position requiring on-site work in Santa Clara, CA on a weekly basis.

Key Responsibilities

• Draft, review, and negotiate a variety of commercial agreements, including SaaS, software licensing, vendor, customer, partnership, and services agreements
• Provide practical legal guidance on contract terms, risk assessment, and business-facing solutions
• Partner closely with internal stakeholders, including sales, procurement, product, and leadership teams
• Support legal issues related to technology transactions, data use, and general commercial operations
• Help develop and improve contract templates, playbooks, and legal processes
• Advise on contractual obligations, compliance considerations, and legal risk mitigation
• Manage multiple agreements and priorities in a dynamic, deadline-driven environment

Qualifications:

Qualifications

• J.D. from an accredited law school and active license to practice law in any US jurisdiction
• Prior experience as a Commercial Counsel or attorney supporting commercial transactions
• Strong experience with SaaS agreements and other technology-related contracts
• Experience supporting technology and/or AI companies preferred
• Excellent contract drafting, negotiation, and issue-spotting skills
• Ability to provide practical, business-oriented legal advice
• Strong communication skills and ability to collaborate cross-functionally
• Must be able to work on-site in Santa Clara on a hybrid basis
