We are looking for an experienced Attorney to support sophisticated finance matters on an ongoing contract basis in Atlanta, Georgia. This role centers on advising clients through complex lending and M& A deals, with an emphasis on protecting business interests and guiding deals from structuring through closing.


Responsibilities:

• Lead legal work for complex financing matters, guiding transactions from initial structuring through execution and closing.

• Prepare, revise, and negotiate loan-related documentation, including credit facilities, intercreditor arrangements, and collateral instruments.

• Advise lenders, borrowers, and investors on commercial lending strategies, risk allocation, and enforceability considerations.

• Structure transactions involving acquisition financing, asset-based lending, real estate-related financings, and other sophisticated debt arrangements.

• Support matters involving syndicated lending, leveraged transactions, and layered capital structures such as mezzanine or second-lien financing.

• Counsel clients on debt workouts, restructuring options, and legal obligations tied to applicable financial regulations.

• Coordinate with internal and external stakeholders to keep transactions moving efficiently and resolve issues that may affect closing.

• Identify legal and commercial risks across financing and acquisition matters and recommend practical solutions to protect client interests.


Qualifications:

• Significant experience practicing as an attorney with a focus on commercial finance, lending, or related transactional law.

• Recent hands-on work with syndicated lending or structured finance matters is required.

• Demonstrated ability to draft and negotiate complex finance documents with a high degree of accuracy and sound legal judgment.

• Background advising on acquisition-related financing, debt restructuring, or other sophisticated corporate transactions.

• Working knowledge of regulatory compliance considerations affecting financial transactions.

• Familiarity with secured lending concepts, including collateral and lien-related issues.

• Experience supporting mergers, acquisitions, or other strategic transactions in a finance-driven legal environment.

• Must have active bar license.
