Senior Counsel

Compensation: $170 to $230 Yearly

We are looking for an experienced, detail-oriented legal specialist to provide practical, business-focused counsel across real estate, commercial, corporate, and operational matters in Houston, Texas. This role partners closely with the General Counsel, internal teams, and external advisors to support transactions, manage legal risk, and deliver clear guidance that aligns with business objectives. The ideal candidate brings strong drafting and negotiation skills, sound judgment, and the ability to navigate a wide range of legal issues in a fast-paced environment.

Responsibilities:
• Prepare, review, and negotiate a broad range of documents related to real estate transactions, leasing activity, construction matters, vendor relationships, and other commercial arrangements.
• Support acquisitions, dispositions, development initiatives, and leasing matters by organizing due diligence, analyzing documentation, and helping drive transactions toward closing.
• Research and assist with land use, title, survey, permitting, entitlement, easement, and other property-related issues to help advance operational and development priorities.
• Contribute to financing, development, leasing, and project documentation under the guidance of senior legal leadership while coordinating timelines and deliverables with business partners.
• Assist with entity formation, governance documentation, corporate records, written consents, and resolutions to support ongoing corporate maintenance and compliance.
• Draft and revise routine legal documents such as confidentiality agreements, service contracts, amendments, notices, and other business-facing agreements.
• Identify legal and commercial concerns within contracts, projects, and business activities, and elevate material risks to appropriate stakeholders in a timely manner.
• Help manage disputes, claims, notices, document gathering, and litigation-related coordination in partnership with the General Counsel and outside counsel.
• Maintain organized legal templates, matter trackers, files, and supporting documentation while participating in cross-functional meetings and departmental initiatives.
• Monitor legal and regulatory developments affecting commercial real estate, leasing, construction, corporate governance, and related operations, and translate findings into practical guidance for the business.

Qualifications:

• Juris Doctor from an accredited law school.
• Licensed to practice law in the applicable jurisdiction or able to obtain admission within a reasonable period.
• At least 5 years of experience in real estate, commercial transactions, corporate law, construction, leasing, finance, or a comparable transactional practice.
• Demonstrated ability to draft, review, and negotiate contracts, amendments, notices, and other transactional documents.
• Strong working knowledge of commercial contracts, corporate governance, contract negotiation, and commercial leasing matters.
• Detail-oriented, collaborative, and discreet approach, with the ability to work effectively across legal, operational, and business teams.
• Prior law firm or in-house experience supporting real estate, development, property management, hospitality, retail leasing, construction, or corporate transactions is preferred.
• Familiarity with mixed-use developments, commercial real estate portfolios, title and survey review, land use matters, financing documents, or entity structuring is preferred.

Compensation

$170,000.00-$230,000.00 Yearly
