Commercial Counsel

Our client, a San Francisco-based fintech company, is seeking a Commercial Counsel to provide immediate part-time support to its vendor and procurement contracting function on a fully remote contract basis. This is a hands-on, queue-driven role focused on reviewing and negotiating inbound vendor agreements, identifying legal and commercial risk, and helping move contracts efficiently through execution.

The ideal candidate will bring meaningful commercial contracting experience involving technology and SaaS vendors, including experience negotiating DPAs and related privacy and security terms. The attorney should be comfortable independently managing a contract queue, applying established contracting positions and playbooks, and partnering with legal and business stakeholders in a fully remote environment.

Key Responsibilities

• Review, draft, and negotiate vendor and procurement agreements, including MSAs, SaaS agreements, SOWs, order forms, and renewals against established contracting positions and playbooks.
• Review and negotiate Data Processing Agreements (DPAs) and related privacy and security provisions, particularly in agreements with technology and SaaS vendors.
• Negotiate AI-related contractual provisions involving use restrictions, data rights, model training, and evolving regulatory considerations.
• Evaluate legal and commercial risks in proposed contractual terms and recommend practical, business-oriented mitigations.
• Independently manage an active contract queue and prioritize competing requests to move agreements toward signature efficiently.
• Partner cross-functionally with Procurement, Security, Privacy, and business stakeholders to resolve contractual issues and facilitate execution. 

Qualifications:

• Juris Doctor (JD) from an accredited U.S. law school and active bar membership in good standing in at least one U.S. jurisdiction.
• 3–5 years of commercial contract law experience preferred; candidates with additional experience will also be considered.
• Substantive experience reviewing and negotiating vendor and procurement agreements.
• Demonstrated experience negotiating DPAs and data privacy and security provisions with SaaS and technology vendors.
• Ability to independently manage commercial agreements and exercise practical judgment on contractual risk.
• Strong negotiation, drafting, and written communication skills, including the ability to work effectively with non-legal stakeholders.
• Ability to manage multiple priorities and an active contract queue in a fully remote environment.
• Ability to commit approximately 20 hours per week for the initial 3-month term, with reliable availability during agreed-upon business hours to collaborate with internal stakeholders.
• Experience negotiating AI/ML contractual provisions, including training data rights, output ownership, and model-use restrictions, is preferred.
• In-house experience within fintech, financial services, or another regulated technology environment is preferred.
• Experience with Ironclad or a comparable contract lifecycle management platform is preferred.
