Role: Corporate Counsel (Full-Time/Direct-Hire)


This role will act as a key legal partner to the business, offering practical counsel that supports growth while reducing legal and regulatory exposure. The position also oversees commercial contracting, policy development, corporate governance, and compliance initiatives across the company and its affiliated entities.


Responsibilities:

• Provide day-to-day legal counsel to business leaders, balancing commercial priorities with legal, regulatory, and reputational considerations.

• Manage the full contract process from initial request through drafting, negotiation, execution, renewal, and closeout for a wide range of business agreements.

• Evaluate contractual commitments across the organization, identify areas of potential noncompliance or risk, and recommend corrective actions to stakeholders.

• Draft and negotiate diverse agreements such as SaaS contracts, licensing terms, vendor and consulting arrangements, service agreements, NDAs, promotional documents, event-related contracts, and customer-facing terms.

• Create and revise internal policies related to privacy, social media, artificial intelligence, and employee conduct to align with changing legal requirements.

• Oversee trademark and other intellectual property matters, including filings, renewals, portfolio maintenance, and enforcement support for the company and its subsidiaries.

• Review annual certification materials tied to consumer and business continuity codes to help ensure alignment with industry expectations and applicable standards.

• Lead the administration of companywide compliance training programs covering topics such as antitrust, intellectual property, and AI-related governance.

• Support cross-functional meetings and industry working groups by preparing legal analysis, summaries, and reports for leadership and internal teams.

• Maintain board meeting minutes and corporate records to support sound governance practices and ongoing legal compliance.


Qualifications:

• Demonstrated experience advising organizations on corporate law, compliance, governance, and commercial legal matters.

• Strong background in drafting, reviewing, and negotiating a broad range of commercial contracts and service agreements.

• Knowledge of corporate records management, board documentation, and legal entity maintenance.

• Familiarity with intellectual property protection, including trademark portfolio administration and related risk management.

• Ability to interpret contractual obligations, assess exposure, and provide clear, practical recommendations to business stakeholders.

• Experience developing or updating internal policies in response to evolving legal and regulatory standards.

• Strong written and verbal communication skills with the ability to prepare concise legal analyses, reports, and meeting documentation.

• Proven ability to manage multiple priorities independently in a fast-paced business environment.
