Sell Side Mergers & Acquisitions Advisor

New York, NY 10017, US Contract
Compensation: $100 to $135 Hourly

We are looking for an experienced M& A Advisor to join a boutique, technology-enabled advisory firm serving clients in Investment Banking in New York, New York. This Contract to permanent opportunity is ideal for someone who can guide lower middle market sell-side engagements from initial preparation through closing while providing clear, strategic advice to founder-led and privately held businesses. The role calls for strong financial acumen, confident client communication, and the ability to manage multiple workstreams across a range of industries.


Responsibilities:

• Lead sell-side transaction engagements from kickoff through closing, coordinating timelines, priorities, and key deliverables across each stage of the process.

• Advise clients on transaction structures and core deal provisions, including working capital terms, earn-out arrangements, representations and warranties, and purchase price adjustments.

• Perform detailed financial analysis to assess company performance, interpret transaction economics, and support decision-making throughout the deal lifecycle.

• Build and review valuation models using relevant methodologies such as discounted cash flow analysis and other transaction-based approaches.

• Organize and oversee due diligence activities, ensuring accurate information flow between clients, buyers, and external stakeholders.

• Explain complex financial outcomes and deal mechanics in a clear, client-friendly manner to support negotiations and executive discussions.

• Partner with internal and external parties to keep transactions moving efficiently while maintaining quality and responsiveness in a lean-team environment.

• Contribute across a variety of sector engagements, applying sound M& A judgment without relying on a narrow industry focus.


Qualifications:

• At least 7 years of experience in investment banking, M& A advisory, transaction advisory, corporate development, or lower middle market sell-side advisory.
• Proven success managing sell-side M& A transactions through the full process from market launch to signed and closed deals.
• Strong knowledge of lower middle market transactions involving privately held and founder-owned businesses.
• Hands-on expertise in financial statement analysis, valuation, and advanced transaction modeling.
• Ability to evaluate balance sheet impacts, cash flow considerations, waterfall outcomes, and purchase price adjustments with accuracy.
• Excellent communication, negotiation, client relationship management, and project coordination skills.
• Broad transaction exposure across multiple industries is preferred.
• Active Series 79 and Series 66 licenses are required.

Compensation

$100.00-$135.00 Hourly
