Senior Corporate Counsel

Robert Half Legal is partnering with an engineering software company located in the west suburbs who is seeking a talented Senior Corporate Counsel with 5-10+ years of experience to join their in-house legal team. Candidates must have experience drafting and negotiating SaaS, IT, and Licensing agreements plus support broader legal department initiatives including vendor agreements, M& A due diligence, and strategic business transactions. Software/Technology company experience highly preferred. This position will work on a flexible hybrid WFH schedule of 3 days in-office, 2 days WFH per week.

Responsibilities

• Draft, review, negotiate, and finalize commercial agreements, including MSAs, SaaS/software licenses, professional services agreements, NDAs, and enterprise customer contracts across U.S. and international markets.
• Partner with the global Sales team to provide practical guidance on contract terms, deal structures, customer escalations, and company positions.
• Ensure commercial contracts comply with applicable contract, privacy, data protection, export control, and international trade laws.
• Identify and advise on contractual risks, including indemnification, limitation of liability, intellectual property, and data privacy matters.
• Maintain and enhance contract templates, playbooks, and negotiation guidelines
• Support broader legal department initiatives, including vendor agreements, employment matters, M& A due diligence, and strategic business transactions.
• Manage legal databases, document retention, matter tracking, and follow-up for open and closed legal matters.

Compensation & Benefits:

• Base salary ranging from $180,000 – $230,000

Qualifications:

Qualifications

• J.D. from an accredited law school and active Illinois bar membership
• At least 5-10+ years of relevant experience
• Background advising software businesses either in-house or within a highly regarded law firm environment.
• Demonstrated experience negotiating SaaS, software licensing, and enterprise technology agreements.
• Solid understanding of U.S. commercial contracting principles and common market terms.
• Familiarity with multi-jurisdictional compliance considerations and cross-border corporate matters.
• Strong drafting, negotiation, and verbal communication abilities.
