Commercial Contracts Attorney (Part-Time, Contract | Maternity Leave Coverage)

Our client is seeking an experienced Commercial Contracts Attorney for a part-time contract engagement covering a maternity leave. This assignment is expected to run from mid-September through mid-January and offers the opportunity to support a collaborative legal team while maintaining a flexible schedule. This role is ideal for a seasoned attorney with significant experience reviewing, drafting, and negotiating commercial agreements, particularly in the technology and SaaS space. The selected candidate will play a critical role in ensuring continuity of legal support, managing contract workflows, and mitigating business risk during the coverage period.

Candidates located near Columbia, MD are preferred for occasional onsite meetings (approximately once per week), though qualified candidates located within the Eastern Time Zone will be considered for a primarily remote arrangement.

Responsibilities

• Review, draft, negotiate, and manage a variety of commercial agreements, including customer and vendor contracts.
• Provide legal support for SaaS, technology licensing, data privacy, and service-related agreements.
• Partner with internal legal and business stakeholders to support ongoing initiatives and contract execution.
• Identify legal and operational risks and provide practical, business-focused solutions.
• Manage contract workflow and priorities in a dynamic environment with fluctuating volume.
• Ensure a seamless transition of matters and documentation at the conclusion of the assignment.

Qualifications:

Qualifications

• J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
• 10+ years of legal experience, including substantial commercial contracting experience.
• Prior in-house counsel experience strongly preferred.
• Demonstrated expertise negotiating customer-facing and vendor agreements independently.
• Experience with SaaS, technology licensing, data privacy, and related commercial matters preferred.
• Exceptional written, verbal, and negotiation skills.
• Ability to work independently with minimal supervision and quickly integrate into an established legal team.
• Must be available for the duration of the engagement (September through January).
• Ability to pass a standard background check.
