Corporate Paralegal (Contract & Contract-to-Hire Opportunities)

Behind every successful transaction, corporate filing, and business initiative is a detail-oriented legal professional keeping everything on track. We're actively seeking experienced Corporate Paralegals for ongoing contract and contract-to-hire opportunities with law firms, in-house legal departments, and corporate organizations.

Responsibilities:

• Assist with entity formation, maintenance, and dissolution.
• Prepare and file corporate governance documents, including resolutions, bylaws, and meeting minutes.
• Maintain corporate records, minute books, and organizational documents.
• Support mergers, acquisitions, restructurings, and other corporate transactions.
• Conduct corporate and UCC filings.
• Coordinate due diligence and document review projects.
• Manage annual filings, registrations, and compliance requirements.
• Communicate with attorneys, executives, regulatory agencies, and third-party vendors.

Qualifications:

Qualifications:

• Prior experience as a Corporate Paralegal or in a related corporate legal support role.
• Knowledge of corporate governance and business entity management.
• Experience handling state filings and corporate records.
• Familiarity with mergers and acquisitions, contract management, or transactional matters is a plus.
• Strong organizational, analytical, and communication skills.
• Ability to manage multiple priorities in a fast-paced environment.

Preferred Experience:

• Law firm and/or in-house legal department experience.
• Experience with entity management systems and corporate databases.
• Bachelor's degree and/or Paralegal Certificate preferred.
