Senior Legal Counsel

A growing organization operating in the energy, infrastructure, natural resources, and strategic investment sectors is seeking a Senior Legal Counsel to join its legal team. This position will partner closely with senior leadership and play a key role in supporting corporate transactions, governance, compliance, commercial contracting, and strategic business initiatives.

This is an excellent opportunity for an experienced attorney who enjoys working across multiple legal disciplines in a fast-paced and highly collaborative environment.

Key Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including vendor, services, confidentiality, partnership, and other business contracts.
• Support mergers, acquisitions, divestitures, joint ventures, capital raises, and other strategic corporate transactions.
• Manage legal due diligence processes, virtual data rooms (VDRs), transaction documentation, and post-closing matters.
• Advise business leaders on legal risk, dispute prevention, and litigation-related matters.
• Support corporate governance initiatives, board matters, and compliance programs.
• Assist with securities law compliance, public company reporting obligations, and regulatory filings.
• Develop and enhance policies, procedures, and internal controls related to legal and regulatory compliance.
• Provide guidance on anti-money laundering (AML), anti-bribery, anti-corruption, and related regulatory requirements.
• Coordinate with outside counsel on specialized legal matters and litigation.
• Serve as a trusted business partner to stakeholders across finance, operations, corporate development, compliance, and executive leadership.

Qualifications:

Required Experience

• J.D. from an accredited law school and active bar membership.
• Significant experience handling mergers and acquisitions, divestitures, and other complex corporate transactions.
• Strong commercial contract drafting, negotiation, and advisory experience.
• Experience supporting a publicly traded company, advising public companies, or handling securities law and reporting matters.
• Knowledge of corporate governance, compliance, and regulatory frameworks.
• Experience identifying legal risks and developing practical business-oriented solutions.
• Proven ability to manage matters independently with minimal supervision.
• Excellent written and verbal communication skills.
• Strong analytical abilities, sound judgment, and exceptional attention to detail.
• Experience supporting capital markets transactions, equity raises, or other financing activities.
• Background in energy, infrastructure, mining, manufacturing, industrial, or investment-focused organizations.
• Experience working with international operations or cross-border transactions.
• Familiarity with AML, anti-bribery, anti-corruption, ethics, and compliance programs.
