Contract Attorney
We are looking for an experienced Contract Attorney to support a fast-moving AI and biotechnology company on an immediate 2-month Contract assignment. This opportunity is ideal for a licensed attorney who can provide prompt daily guidance, manage a broad range of commercial and data-related agreements, and respond quickly to business needs in a collaborative environment. The role combines hands-on contract drafting with strategic legal input across privacy, research partnerships, and technology-driven commercial matters.
Responsibilities:
• Draft, review, and negotiate agreements involving data access, data use, data sharing, and research collaborations with hospitals, universities, and academic medical institutions.
• Prepare and revise vendor-facing contracts, including SaaS, cloud services, AI platform, consulting, and laboratory-related agreements.
• Support business development initiatives by structuring pilot engagements, proof-of-concept arrangements, and related commercial documentation.
• Develop and negotiate master service agreements, statements of work, and other standard contract forms as partnerships progress into longer-term relationships.
• Advise leadership on governance considerations, commercial exposure, privacy obligations, and rights associated with AI training data and models.
• Coordinate with external legal partners when specialized support is needed and help ensure legal work aligns with business timelines.
• Provide employment-related legal support, including drafting offer letters and invention assignment documentation.
• Maintain a high level of responsiveness for day-to-day legal requests and deliver same-day turnaround on priority matters when needed.
Qualifications:
• Active license to practice law and at least 5 years of relevant legal experience.• Demonstrated background handling SaaS, vendor, and commercial agreement work in a business-facing legal role.
• Experience negotiating contracts related to technology platforms, including AI-enabled products or services.
• Strong familiarity with data-sharing, research, or collaboration agreements involving healthcare or academic organizations.
• Working knowledge of privacy considerations, commercial risk assessment, and contract governance principles.
• Ability to manage a part-time workload of approximately 1–2 hours per day while remaining highly responsive.
• Excellent drafting, negotiation, and communication skills with the ability to support executive stakeholders effectively.
Compensation
