Associate Attorney (Corporate/Tax)

Robert Half Legal has partnered with a well-respected mid-sized transactional firm in downtown Chicago on an Associate Attorney (Corporate/Tax) position. The Associate Attorney (Corporate/Tax) will advise clients on guiding businesses through entity structuring, partnership and joint venture arrangements, and related tax planning considerations including tax strategy and drafting tax opinions. This role will work on highly flexible hybrid WFH schedule.

Responsibilities:

• Advise clients on the formation, organization, and ongoing governance of pass-through entities, including partnership and joint venture structures.
• Prepare, review, and negotiate operating agreements and other key documents that support corporate and tax planning objectives.
• Counsel clients on tax strategy associated with business transactions, entity selection, and operational planning.
• Draft well-reasoned tax analyses and formal opinions that address complex legal and regulatory issues.
• Collaborate with colleagues and clients to develop practical solutions for corporate and tax-related matters across a range of industries.

Compensation & Benefits

• Base salary ranging from $200,000–$240,000+, depending on experience

Qualifications:

• At least 5 years of legal experience handling corporate and tax matters involving pass-through entities, joint ventures, and related agreements.
• Experience in advising clients on tax planning strategies and preparing tax opinions.
• Strong written and verbal communication skills with the ability to explain complex issues clearly to clients and colleagues.
• Excellent organizational skills and the ability to work independently with minimal supervision.
• Careful attention to detail and a consistent commitment to producing high-quality legal work.
• Active license to practice law in IL.
