Corporate Governance & Legal Operations Specialist
We are seeking a highly organized and detail-oriented Corporate Governance & Legal Operations Specialist to join a growing company in La Jolla, California. This role is ideal for a Corporate Paralegal, Legal Operations Professional, Executive Assistant, Chief of Staff, Corporate Administrator, or startup operations professional who thrives in a fast-paced environment, enjoys wearing multiple hats, and has experience supporting executive leadership, corporate governance, and business operations.
This person will serve as a trusted partner to the COO, General Counsel, and company leadership team, helping manage corporate records, equity administration, financing activities, compliance matters, and key operational initiatives. Candidates with experience supporting founders, boards of directors, investors, or executive leadership in high-growth organizations are encouraged to apply.
Responsibilities:
- Support corporate governance activities, including maintaining corporate records, board materials, resolutions, meeting documentation, and compliance-related filings.
- Administer equity programs through Carta, including cap table updates, option processing, and ongoing maintenance of ownership records.
- Prepare and coordinate documents related to stock options, equity plans, and 83(b) election processes with careful attention to accuracy and deadlines.
- Coordinate equity administration processes, including stock options, equity grants, ownership records, vesting schedules, and related documentation.
- Assist with financing, fundraising, investor relations, due diligence requests, and virtual data room management.
- Draft, organize, and manage a variety of corporate, legal, employment, and operational documents, including agreements, contracts, offer letters, and confidentiality documentation.
- Partner with executive leadership, outside counsel, investors, auditors, and other stakeholders to support strategic initiatives and corporate transactions.
- Manage and maintain organized systems for legal, corporate, HR, and operational records while ensuring accuracy, confidentiality, and accessibility.
- Support HR and people operations activities, including onboarding, offboarding, policy administration, compliance tracking, recruiting coordination, and employee documentation.
- Serve as a liaison between internal teams and external service providers, including legal, accounting, payroll, and benefits partners.
- Assist with financial operations, including invoice processing, vendor coordination, expense reporting, budget tracking, and corporate payment administration.
- Manage multiple projects, deadlines, and executive priorities while maintaining exceptional attention to detail in a fast-paced, high-growth environment.
Qualifications:
• Paralegal certificate or Juris Doctor required
• 3 years of experience in a Corporate Paralegal, Legal Operations, Executive Assistant, Chief of Staff, Corporate Administrator, Office of the CEO/COO, or similar role.
• Strong hands-on experience with Carta, including capitalization table maintenance, option grant administration, and equity record management.
• Practical knowledge of corporate governance processes, equity documentation, and 83(b) election administration.
• Experience supporting financing rounds through diligence preparation, virtual data room management, and investor document coordination.
• Ability to work independently, stay organized under pressure, and provide high-quality support in a high-growth business environment.
• Familiarity with tools or subject areas such as ADP platforms, QuickBooks, bookkeeping, investor relations support, or California employment compliance is a plus.
Compensation
