Commercial Transactions Attorney
We are looking for an experienced Commercial Transactions Attorney to support clients with sophisticated business agreements and strategic commercial matters at a boutique law firm in New York. This role is suited for a lawyer who can independently guide transactions from initial planning through execution while also providing practical counsel on governance, risk, and operational issues. T
Responsibilities:
• Lead commercial matters from initial strategy through execution, overseeing workflow and providing direction to entry-level attorneys and support staff.
Prepare, revise, and negotiate key transaction and commercial documents, including:
- Supply agreements and contracts for the sale of critical goods and services
- Joint venture, teaming, and strategic alliance agreements
- Standard contract terms and conditions
- License and technology agreements
- Shareholders’, operating, and partnership agreements
- Distribution and reseller agreements
• Advise closely held companies and their principals on corporate governance, ownership matters, and internal business relationships.
• Counsel clients on privacy, data protection, and related regulatory considerations that may affect transactional arrangements.
• Communicate directly with clients, opposing counsel, and other deal professionals, providing practical, business‑oriented advice.
Qualifications:
• At least 7 years of experience handling commercial transactions within a law firm or a sophisticated corporate legal environment.
• Demonstrated ability to manage complex transactions and lead deal teams, while mentoring and developing junior lawyers.
• Strong drafting, negotiation, analytical, and client communication skills with an emphasis on practical business advice.
• Ability to take ownership of matters through structuring, documentation, closing, and follow-up activities.
• Admission to the New York Bar in good standing. Additional admissions are a plus
• Strong academic credentials; highly regarded law school training or comparable achievement is preferred.
• Regulatory experience involving government contracts or agencies is a plus.
Compensation
