Corporate Paralegal
Responsibilities:
• Prepare, review, and organize legal documents related to mergers, acquisitions, restructurings, and other corporate transactions.
• Maintain corporate records, entity databases, and governance materials to ensure accuracy and compliance across affiliated entities.
• Coordinate board and committee materials, draft meeting documentation, and support the execution of corporate approvals and resolutions.
• Assist attorneys with due diligence activities by gathering records, tracking deliverables, and managing transaction checklists and closing documentation.
• Oversee filings and registrations connected to corporate entities, including formations, qualifications, amendments, dissolutions, and annual compliance requirements.
• Partner with internal teams and outside counsel to facilitate contract support and other commercial legal matters as needed.
• Monitor deadlines, organize signature processes, and help drive transactional workstreams from initial preparation through closing.
• Support legal operational updates, including changes to internal processes or systems, when they affect corporate records or transaction workflows.
Qualifications:
• At least 7 years of paralegal experience with significant exposure to corporate law and mergers and acquisitions work.• Demonstrated knowledge of entity maintenance, corporate governance, and commercial legal documentation.
• Strong ability to manage large volumes of records and maintain precise, well-organized legal files.
• Experience supporting complex transactions, including due diligence, closings, and post-closing follow-up activities.
• Excellent written and verbal communication skills with the ability to coordinate effectively across legal and business teams.
• High level of attention to detail, sound judgment, and the ability to manage multiple priorities under tight deadlines.
• Proficiency with corporate records systems, document management tools, and standard business software applications.
Compensation
