Corporate Paralegal
Responsibilities:
• Oversee recurring compliance activities for domestic and international legal entities, helping ensure filings and related obligations are completed accurately and on time.
• Prepare corporate governance materials such as resolutions, consents, and supporting documentation for entity-level actions.
• Assist with legal entity work involving European jurisdictions by organizing submissions, monitoring deadlines, and following up on outstanding items.
• Serve as a point of coordination with external law firms to gather information, move matters forward, and maintain clear communication on deliverables.
• Maintain organized and current corporate records, including entity documents, governance files, and related reference materials.
• Monitor active projects and provide status updates so stakeholders have visibility into progress, timing, and next steps.
• Work closely with finance and tax partners to support entity-related activities and address documentation needs tied to corporate governance.
• Use tools such as DocuSign and Microsoft Office to manage documentation, routing, and reporting associated with legal operations.
Qualifications:
• Experience supporting corporate legal functions with emphasis on entity management, governance, and annual filing activities.• Working knowledge of corporate records administration and preparation of resolutions or similar governance documents.
• Familiarity with coordinating filings or compliance matters across multiple jurisdictions, including international entities.
• Ability to collaborate effectively with outside counsel as well as internal business partners in legal, finance, and tax.
• Strong organizational skills with the ability to manage deadlines, track multiple workstreams, and maintain accurate documentation.
• Proficiency with Microsoft Office Suite and electronic document execution tools such as DocuSign.
• Availability to work a regular schedule for a short-term contract engagement with flexibility to support morning collaboration needs.
