Paralegal
Robert Half is seeking a highly skilled Corporate Paralegal to support multiple attorneys with a broad range of mergers and acquisitions, finance, and general corporate matters. This role will play a key part in managing transactional documentation, maintaining corporate records, assisting with governance matters, and supporting financing activities. The ideal candidate is detail-oriented, organized, and comfortable working in a fast-paced legal environment.
Key Responsibilities:
- Support attorneys with all phases of mergers and acquisitions, including due diligence, organization of data rooms, review of corporate documents, and preparation of closing checklists and transaction binders.
- Assist with finance matters, including preparation and review of loan documents, UCC filings, lien searches, and closing deliverables.
- Provide support on a variety of general corporate matters, including entity formation, dissolutions, foreign qualifications, annual filings, and maintenance of corporate records.
- Draft, revise, and manage corporate documents such as resolutions, consents, incumbency certificates, and secretary’s certificates.
- Maintain legal entity databases, minute books, and corporate governance records.
- Coordinate signatures, notarizations, and document execution for transactions and corporate actions.
- Monitor deadlines and assist with post-closing matters, including filing and record retention.
- Partner with internal and external stakeholders, including attorneys, finance teams, executives, and outside counsel, to ensure timely completion of projects.
- Support compliance, contract management, and corporate governance initiatives as needed.
Qualifications:
Qualifications:
- Paralegal certificate and/or equivalent combination of education and relevant experience.
- 3+ years of experience as a corporate paralegal, preferably with exposure to M& A, finance, and corporate governance.
- Strong knowledge of corporate formations, governance documents, UCC filings, and transactional closing processes.
- Experience supporting mergers and acquisitions and corporate governance matters is highly valued.
- Excellent organizational, communication, and multitasking skills.
- Ability to manage competing priorities with strong attention to detail and accuracy.
- Proficiency with Microsoft Office and legal document management systems.
