Senior Counsel

Compensation: $180 to $200 Yearly

Our client is seeking an experienced Senior Counsel to provide legal support for commercial transactions, energy trading activities, procurement, technology, logistics, and regulatory matters. This attorney will serve as a key legal advisor to commercial, supply, trading, risk, credit, compliance, and operational teams.


Key Responsibilities

  • Structure, draft, negotiate, and manage a broad range of commercial and energy-related agreements.
  • Advise business teams on legal risks, transaction structures, and commercial strategies related to energy supply, trading, transportation, storage, and logistics activities.
  • Negotiate and support physical and financial commodity transactions involving petroleum products, natural gas, power, environmental products, and related energy commodities.
  • Draft and negotiate master trading agreements, credit support arrangements, transaction confirmations, and related commercial documentation.
  • Review and negotiate transportation, pipeline, rail, marine, terminal, storage, throughput, lease, and confidentiality agreements.
  • Provide guidance on compliance and regulatory matters involving federal and state energy regulations.
  • Partner closely with commercial, supply, trading, risk management, credit, and compliance teams.
  • Manage outside counsel and external advisors as needed.
  • Represent the company in negotiations with customers, suppliers, service providers, counterparties, and governmental agencies.
  • Support other commercial and regulatory initiatives as assigned.



Qualifications:

Qualifications

  • J.D. from an accredited law school.
  • Licensed attorney in good standing and eligible for in-house registration in the applicable jurisdiction.
  • 10+ years of relevant legal experience, ideally including a combination of major law firm and in-house experience.
  • Significant experience negotiating sophisticated commercial and energy-related agreements.
  • Experience supporting commodity trading, energy marketing, supply, logistics, or infrastructure-related businesses is strongly preferred.
  • Familiarity with regulatory frameworks affecting energy markets, including FERC, CFTC, EPA, state utility commissions, and related regulatory bodies.
  • Working knowledge of credit, bankruptcy, insolvency, and risk management concepts.
  • Strong drafting, negotiation, communication, and relationship-management skills.
  • Practical business judgment and a solutions-oriented mindset.
  • Ability to manage multiple priorities in a fast-paced environment.

Preferred Experience

Successful candidates will have experience negotiating many of the following:

  • Physical commodity purchase and sale agreements
  • Refined products agreements
  • Master trading agreements (ISDA, NAESB, EEI, and similar forms)
  • Credit support agreements and guaranties
  • Transportation, pipeline, rail, and marine agreements
  • Terminal, storage, and throughput agreements
  • Environmental credit agreements
  • LNG and natural gas agreements
  • Structured energy transactions
  • Derivatives and commodity trading documentation
  • FERC-regulated transaction



Compensation

$180,000.00-$200,000.00 Yearly
