Corporate Counsel
We are looking for an experienced Corporate Counsel to join our client in Houston, Texas. This role will serve as a trusted advisor across the business, guiding legal and compliance matters with a strong emphasis on ethics, practical judgment, and risk awareness. The position offers broad exposure to privacy, governance, commercial contracting, securities matters, and strategic transactions while supporting the company’s ongoing business objectives.
Responsibilities:
• Direct and strengthen the company’s compliance framework by overseeing policy development, employee education, code of conduct administration, reporting matters, and adherence to anti-corruption, sanctions, and other regulatory obligations.
• Counsel business partners on privacy and data protection requirements, including applicable federal and state laws, consumer rights requests, privacy disclosures, vendor data terms, and contract language involving personal information.
• Evaluate legal and regulatory exposure across departments and develop practical measures to reduce risk while supporting business operations.
• Prepare, review, revise, and negotiate a wide range of commercial agreements and other legal documents used throughout the organization.
• Partner with internal stakeholders and subject matter specialists to move contracts through review, approval, and execution efficiently and accurately.
• Provide day-to-day legal guidance to corporate functions and operating teams on matters affecting the company’s activities and decision-making.
• Assist with financing and capital markets matters, including securities offerings, debt-related transactions, credit arrangements, and related coordination with outside counsel and financial counterparties.
• Contribute to the drafting and review of public company disclosures and securities filings, including periodic reports, current reports, and insider ownership filings.
• Support mergers, acquisitions, divestitures, and other strategic initiatives through document preparation, due diligence coordination, negotiation support, and post-closing legal follow-up.
• Handle additional legal projects and corporate initiatives as assigned based on business needs.
Qualifications:
• Licensed attorney and active member in good standing of at least one State Bar, with eligibility to serve as in-house counsel as required.• At least 7 years of legal experience in a law firm, corporate legal department, or a combination of both, including substantial work in compliance, privacy, and corporate matters.
• Demonstrated knowledge of compliance program design, policy implementation, investigations support, and enterprise risk assessment.
• Strong understanding of federal and state data privacy laws and experience applying those requirements in business operations and commercial agreements.
• Proven ability to draft, analyze, and negotiate commercial contracts and transaction-related documents with careful attention to legal and business considerations.
• Familiarity with securities regulations, public company reporting, and corporate governance practices is strongly preferred.
• Experience supporting mergers and acquisitions, purchase agreements, and related real estate or transactional documents is a plus.
• Excellent communication, sound judgment, and a practical approach to solving complex legal issues in a fast-paced environment.
Compensation
