Our client, a growing full-service law firm, is seeking a Corporate Associate Attorney to join their legal team in Providence, Rhode Island. This opportunity is suited to a lawyer who brings sound judgment, strong leadership potential, and the ability to manage client matters with precision and professionalism.


Role: Corporate Associate Attorney

Location: Providence, RI

Salary: $165,000 - $185,000 (depending on experience) + amazing benefits

Schedule: Hybrid (4 days in office, 1 day remote but can be 3 days in office, 2 days remote after onboarding period)


Responsibilities:

  • Advise clients on a wide range of corporate, commercial, and transactional legal matters.
  • Review, draft, negotiate, and interpret complex commercial agreements, including equity and asset purchase agreements, shareholder, partnership, and operating agreements, loan and financing agreements, licensing agreements, Service agreements, non-disclosure agreements (NDAs), restrictive covenant agreements and other business-related contracts and transactional documents.
  • Conduct legal research and analyze issues related to corporate transactions, governance, regulatory compliance, and business operations; provide practical and timely recommendations to clients.
  • Assist with all phases of mergers, acquisitions, dispositions, and other strategic transactions, including conducting and managing due diligence reviews.
  • Manage a high volume of client matters while maintaining exceptional attention to detail and responsiveness.
  • Counsel clients regarding contract terms, business risks, legal obligations, and the implications of proposed transactions and operational decisions.
  • Identify potential legal and business risks and assist in developing proactive strategies to mitigate exposure and prevent future legal issues.
  • Collaborate with clients, advisors, and internal stakeholders to facilitate successful business transactions and achieve client objectives.

Qualifications:

Requirements:

  • J.D. from an accredited law school.
  • Admitted to the Rhode Island bar.
  • 3+ years of experience in corporate and transactional law.
  • Strong drafting, negotiation, and contract review skills with experience handling sophisticated commercial transactions.
  • Excellent verbal and written communication skills with the ability to explain complex legal concepts to business clients.
  • Comprehensive knowledge of applicable federal and state laws, regulations, court procedures, filing requirements, and legal processes.
  • Ability to analyze complex factual and legal issues and develop clear, logical, and practical solutions.
  • Demonstrated ability to handle confidential and sensitive matters with discretion and professionalism.
  • Strong organizational, project management, and time management skills with the ability to prioritize competing deadlines.
  • Self-motivated professional with sound judgment, strong initiative, and the ability to work independently while managing multiple matters simultaneously.

Compensation

$165,000.00-$185,000.00 Yearly
