Corporate Paralegal

San Francisco, CA 94123, US Remote Temporary
Compensation: $50 to $60 Hourly

Our boutique corporate law firm client is seeking a senior corporate paralegal to support an early-stage company through a Seed-stage fundraising transaction. This is a highly specialized, project-based engagement requiring a candidate who can independently manage corporate transactional workflows with minimal oversight while partnering closely with attorneys throughout the fundraising process. This is not a general corporate maintenance role. The selected candidate will play a key role in organizing and executing transaction-related workstreams, including due diligence, virtual data room management, equity and capitalization cleanup, and closing support.


Key Responsibilities

  • Manage and maintain the Virtual Data Room (VDR), including organization of diligence materials, document uploads, version control, and tracking outstanding requests.
  • Coordinate due diligence efforts by collecting, reviewing, organizing, and tracking corporate records and transaction-related documentation.
  • Review and assist with equity and capitalization table cleanup activities in preparation for fundraising activities.
  • Support attorneys throughout the fundraising process, including preparation and management of closing deliverables.
  • Coordinate execution processes, signature collection, and closing documentation.
  • Maintain transaction checklists and monitor outstanding action items to facilitate efficient deal execution.
  • Collaborate directly with attorneys, founders, investors, and other stakeholders throughout the lifecycle of the transaction.
  • Assist with post-closing documentation and related follow-up activities as needed.



Qualifications:

  • Significant corporate paralegal experience supporting venture financings, corporate transactions, fundraisings, mergers and acquisitions, or related corporate matters.
  • Demonstrated experience supporting Seed-stage, venture-backed, or other early-stage company transactions.
  • Hands-on experience managing virtual data rooms and coordinating due diligence processes.
  • Experience working with capitalization tables, equity records, stock issuances, and related corporate documentation.
  • Strong understanding of corporate governance, entity management, and transactional documentation.
  • Ability to independently manage competing priorities and drive projects forward with minimal supervision.
  • Experience working directly with attorneys and business stakeholders in fast-paced corporate environments.

Preferred Experience

  • Seed, Series A, or other venture financing transactions.
  • Equity administration and cap table management.
  • Startup, emerging company, venture capital, or private company experience.
  • Corporate governance and entity management.
  • Experience with Carta or similar equity management platforms.

Additional Information

  • Fully remote engagement.
  • Anticipated workload of approximately 8–12 hours per week.
  • Initial project expected to last approximately one month, with the potential for additional project-based work depending on business needs.
  • Candidate must be comfortable operating independently and supporting time-sensitive transactional workflows.

Compensation

$50.00-$60.00 Hourly
