Associate General Counsel
Responsibilities:
• Direct the preparation, review, negotiation, and finalization of a wide range of commercial agreements while aligning terms with legal requirements and company standards.
• Establish and refine contract administration practices that improve consistency, strengthen controls, and support efficient workflow management.
• Evaluate legal and operational exposure across business activities and recommend measures that reduce risk and promote regulatory adherence.
• Create and maintain frameworks for compliance and risk oversight to support sound decision-making across the organization.
• Manage external counsel relationships and oversee matters involving the company’s broader legal affairs.
• Support mergers and acquisitions activity by advising on due diligence efforts and contributing to post-transaction integration planning.
• Collaborate with Human Resources on employment-related documents, workplace policies, and other materials that affect employee compliance obligations.
• Lead the renewal process for property, casualty, and liability insurance in partnership with internal stakeholders.
• Supervise and develop legal or contracts team members by providing guidance, coaching, and performance support.
• Identify opportunities to streamline legal and contract workflows through automation, process improvement, and system enhancements.
Qualifications:
• Juris Doctor from an accredited law school and an active license to practice law in at least one U.S. jurisdiction.• At least 7 years of legal experience, with a background that may include both law firm and in-house counsel environments.
• Demonstrated expertise in commercial contracting, contract negotiation, corporate law, and compliance management.
• Experience advising on corporate governance, organizational risk, and legal support for business operations.
• Ability to explain legal issues clearly and effectively to non-legal partners and senior stakeholders.
• Strong analytical judgment, problem-solving capability, and attention to detail in complex legal matters.
• Proven ability to lead projects or teams, with prior people management experience valued.
• Familiarity with multi-state operations, vendor agreements, or M& A matters is advantageous; industry experience in architecture, engineering, or construction is a plus.
Compensation
