Corporate Associate
Responsibilities:
• Provide legal counsel and representation on corporate transactions, including mergers and acquisitions, entity formations, reorganizations, and sales.
• Draft, review, and negotiate various transactional documents, such as purchase agreements, shareholder agreements, operating agreements, and commercial contracts.
• Conduct thorough legal and due diligence reviews to support corporate transactions and ensure compliance.
• Assist with financing transactions by preparing and reviewing loan documents and related agreements.
• Collaborate with attorneys across practice groups, including tax and real estate, to address specialized client needs.
• Manage multiple assignments and priorities effectively while adhering to deadlines in a dynamic environment.
• Communicate clearly and effectively with clients, opposing counsel, and internal teams to facilitate successful outcomes.
• Stay updated on changes in corporate law and emerging industry trends to provide informed legal advice.
Qualifications:
• Juris Doctor (J.D.) degree from an accredited law school.• Active membership in good standing with the California State Bar.
• 1–4 years of experience in corporate and business transactions, including mergers and acquisitions, financing agreements, and capital markets.
• Familiarity with transactional tax planning or securities law is advantageous but not required.
• Proven ability to handle complex legal matters independently and with minimal supervision.
• Strong attention to detail and capability to manage multiple projects in a fast-paced setting.
• Excellent communication skills and a collaborative approach to working with clients and colleagues.
• Ability to function both independently and as part of a team to deliver high-quality legal services.
Compensation
