Corporate Associate

Compensation: $171 to $290 Yearly

We are looking for a skilled Corporate Associate to join our Corporate Practice in Stamford, Connecticut. The ideal candidate has 3–6 years of experience in corporate law, with a focus on mergers and acquisitions (M& A) and general transactional matters. This role offers the opportunity to work closely with partners and clients, handling complex transactions and providing strategic legal counsel.

Responsibilities:
• Handle a variety of corporate transactions, including mergers, acquisitions, dispositions, joint ventures, and strategic investments.
• Draft, review, and negotiate key transactional documents such as purchase agreements, merger agreements, and shareholder agreements.
• Conduct comprehensive due diligence, analyzing corporate records, contracts, and regulatory filings, and prepare detailed summaries.
• Assist with transaction structuring, manage deal timelines, and oversee closing processes.
• Provide legal advice on corporate governance, entity formation, capitalization, and regulatory compliance.
• Collaborate with attorneys across various practice areas, including tax, finance, employment, and litigation, to address complex legal issues.
• Supervise and mentor less experienced associates and paralegals, offering guidance on transactional matters.
• Maintain direct communication with clients, fostering strong relationships and delivering tailored legal strategies.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.

• 3–6 years of experience in transactional law, including drafting and negotiating key deal documents.

• Strong knowledge of corporate governance, business structures, and M& A processes.

• Exceptional drafting, analytical, and organizational skills.

• Proven ability to manage multiple transactions in a fast-paced environment.

• Keen attention to detail and sound business judgment.

• Team-oriented mindset with a proactive and solutions-focused approach.

Ideally admitted to the Connecticut Bar; however, admission is not required at the time of application. Candidates must be eligible for admission and commit to obtaining Connecticut Bar admission within three months of their start date.



Compensation

$171,000.00-$290,000.00 Yearly
