Private Investment Fund Attorney

Compensation: $171 to $290 Yearly

We are looking for a motivated Private Investment Fund/Investment Management Attorney to join our team in Stamford, Connecticut. This role is ideal an attorney who is eager to contribute to fund formation and investment management matters. The successful candidate will work closely with clients and senior attorneys, advising private investment fund sponsors and institutional investors.


Responsibilities:

• Assist with the establishment of private investment funds, including private equity, hedge funds, and other alternative investment vehicles.

• Draft, review, and refine essential fund documents such as private placement memoranda, partnership or operating agreements, subscription agreements, and side letters.

• Facilitate negotiations with investors and analyze investor-related documentation, including co-investment materials.

• Ensure compliance with securities laws by addressing exemptions under federal and state regulations.

• Conduct in-depth legal research on regulatory issues related to funds.

• Coordinate fund launch processes, including managing timelines and overseeing closings.

• Collaborate with senior attorneys, clients, and fund administrators to ensure seamless project execution.


Qualifications:

• Juris Doctor (JD) degree from an accredited law school.

• Minimum of 2 years of experience in private investment fund formation or investment management, preferably at a large law firm or in-house.

• Solid understanding of fund structures, key fund terms, and securities regulations.

• Proven ability to draft and analyze complex legal documents with precision.

• Strong organizational and analytical skills to manage multiple priorities effectively.

• Demonstrated ability to work efficiently in a fast-paced, deadline-driven environment.

Ideally admitted to the Connecticut Bar; however, admission is not required at the time of application. Candidates must be eligible for admission and commit to obtaining Connecticut Bar admission within three months of their start date


Compensation

$171,000.00-$290,000.00 Yearly
